Tata Consumer Deepens Capital Foods Bet, Raises Stake To 80%

Tata Consumer Q2 Revenue Jumps 18%, Profit Up 11%

The company acquired an additional 5 per cent stake from Wildflower Private Trust, taking another step towards its planned full ownership of the packaged foods business

 

 

Tata Consumer Products has increased its holding in Capital Foods, the packaged foods company behind brands such as Ching’s Secret and Smith & Jones, to 80 per cent after acquiring an additional 5 per cent stake from Wildflower Private Trust on 1 September 2026. The transaction takes Tata Consumer Products closer to its plan to eventually acquire full ownership of the business, according to a stock-exchange filing.

Tata Consumer Products did not disclose the value of the latest transaction. Following the purchase, it holds 27,95,533 equity shares in Capital Foods, each with a face value of Rs 10, representing 80 per cent of the company’s paid-up equity share capital.

Tata Consumer Products had announced plans to acquire Capital Foods in January 2024 and completed the purchase of a 75 per cent stake in February that year. It had said the remaining interest would be acquired within three years of the initial transaction.

Capital Foods’ portfolio spans sauces, noodles, soups, chutneys, masalas and cooking pastes, strengthening Tata Consumer Products’ presence in packaged foods alongside its established tea, coffee and salt businesses.

The latest transaction leaves Tata Consumer Products with a 20 per cent stake to acquire for full ownership of Capital Foods.

Shares of Tata Consumer Products closed 0.67 per cent lower at Rs 1,030.50 on 1 September.
