CCI Clears Five Major Deals Across Food, Energy, Fintech And Telecom

Approvals cover Devyani-Sapphire merger, Aditya Birla’s Shell acquisition, Adani’s IntelliSmart deal and investments in Navi and Vodafone

The Competition Commission of India (CCI) has approved five major proposed transactions across the food services, renewable energy, power infrastructure, financial services and telecommunications sectors, paving the way for significant consolidation and investments across these industries.

The approvals involve major domestic and international companies, including Devyani International, Sapphire Foods, Aditya Birla Renewables, Adani Energy Solutions, Prosus and Vodafone Group. The clearances were announced through separate official releases issued by the competition regulator.

Devyani-Sapphire Merger To Create Restaurant Business With Over 3,000 Stores
Among the significant approvals is the proposed merger of Sapphire Foods India Limited with Devyani International. The combination will bring two major operators of KFC and Pizza Hut outlets in India under a single corporate structure.

The CCI said the proposed transaction involves the merger of Sapphire Foods into Devyani International, along with certain related transactions.

Announced earlier this year, the merger is expected to create a restaurant business operating more than 3,000 stores globally, with an annualised turnover of approximately Rs 8,000 crore.

The consolidation is expected to strengthen the combined entity’s presence in the quick-service restaurant (QSR) market.

Aditya Birla Renewables Gets Nod For Rs 17,200 Cr Shell Deal
In the renewable energy sector, the regulator has approved Aditya Birla Renewable’s proposed acquisition of 100 per cent of Solenergi Power Private Limited from Shell Overseas Investment BV.

The transaction, valued at approximately Rs 17,200 crore when announced in July, includes Shell’s Sprng Energy renewable energy business in India.

The acquisition will add to Aditya Birla Renewables’ renewable energy portfolio and expand its presence in India’s clean energy market.

Adani Energy Solutions To Acquire IntelliSmart For Rs 3,050 Cr
The CCI has also cleared Adani Energy Solutions Limited’s proposed acquisition of 100 per cent of IntelliSmart Infrastructure Private Limited for Rs 3,050 crore.

IntelliSmart is being acquired from the National Investment and Infrastructure Fund (NIIF) and Energy Efficiency Services (EESL).

The acquisition is expected to strengthen Adani Energy Solutions’ position in India’s smart electricity metering sector and support its expansion in digital grid infrastructure.

IntelliSmart is involved in the deployment of advanced metering infrastructure, including smart electricity meters.

Prosus Subsidiary Gets Approval For Stake Acquisition In Navi
In the financial services sector, the CCI has approved the acquisition of a certain shareholding in Navi by MIH Payments Holdings BV, an indirect wholly owned subsidiary of Prosus NV.

Founded by Sachin Bansal, Navi offers a range of financial products and services through its consumer-facing mobile application.

The approval marks another investment-related development for the fintech company as it continues to operate across India’s digital financial services market.

Vega Gets CCI Nod To Acquire 16.2% Stake In Vodafone
The fifth approval relates to French company Vega SAS’s proposed acquisition of a 16.2 per cent stake in Vodafone Group PLC.

Vodafone operates telecommunications businesses across Europe and Africa and has a presence in India through Vodafone Idea Limited.

The investment will give Vega a significant holding in the UK-based telecom group. The transaction is among the major international investments cleared by the Indian competition regulator.

The five approvals represent significant regulatory milestones for the proposed transactions. However, the deals will remain subject to applicable closing conditions and other regulatory requirements before completion.
