PepsiCo’s Franchise Bottler Varun Beverages To Acquire Twizza For Rs 1,118.7 Cr

Stepping up its expansion across the African market, Varun Beverages, PepsiCo’s largest franchise bottler outside the United States, said on Sunday it will acquire South Africa-based non-alcoholic beverage maker Twizza in an all-cash deal valued at ZAR 2.095 billion (Rs 1118.7 crore), .

The acquisition will be carried out through Varun Beverages’ South African subsidiary, The Beverages Company Proprietary (BevCo), and involves the purchase of 100 per cent of Twizza’s share capital, the company said in a regulatory filing.

Twizza manufactures and distributes its own branded soft drinks and operates three production facilities in Cape Town, Queenstown and Middelburg, with a combined annual capacity of about 100 million cases. The deal, subject to regulatory and other approvals, is expected to be completed on or before 30 June 2026.

For the financial year ended 31 March 2025, Twizza reported turnover of ZAR 1.689 billion, Varun Beverages said.

“The acquisition will enable BevCo to penetrate deeper in the South African market through Twizza’s three manufacturing facilities,” the company said, adding that Twizza has backward integration at all plants, including five preform lines and one closure line. Following completion, Twizza will become a step-down subsidiary of Varun Beverages.

The deal builds on Varun Beverages’ recent expansion across Africa. In March 2024, the company acquired The Beverage Company, South Africa, along with its wholly owned subsidiaries, consolidating its presence in franchised territories in South Africa, Lesotho and Eswatini, and distribution rights across Namibia, Botswana, Mozambique and Madagascar.

In November 2024, Varun Beverages also agreed to buy PepsiCo bottling operations in Tanzania and Ghana for a combined equity value of about USD 169.6 million. Separately, its Morocco unit has signed an agreement to manufacture and package Cheetos, alongside existing distribution rights for PepsiCo’s snacks portfolio in the country.
